Terms of Use

The following terms of use ("Terms of Use") govern your use of the NASCO Developer Portal (the "Site" or “Developer Portal), and by accessing, viewing, uploading or using the Site or any of the Content (as the term is defined below) on the Site, you acknowledge that you understand and agree to be bound by these Terms of Use. If you do not agree with these Terms of Use, you are not authorized to use the Site and must exit the Site immediately.

Protected Access Site. The Site and all the information, material and contents on the Site are intended for use only by those Blue Cross Blue Shield Plans or Plan affiliates, (including those persons providing support for such Plans or Plan affiliates) authorized by NASCO to access and use the Site. Plan users are required to use their Plan email address as their authorized user ID. All access to the Site will be as determined by NASCO.

Control Plan Agreement.  NASCO has a master agreement with each of its Blue Plan customers (each, “Control Plan Agreement”) which governs NASCO’s provision of services and products to its Plan customers.  Use of this Site is subject to your applicable Control Plan Agreement. 

“Content” on the Site shall mean all of the information, material, and any other content contained therein, including application programming interfaces (“APIs”), executables, code segments, descriptions, questions and answers, and text which is made available by NASCO or contributed to the Site by any user of the Site.

All passwords and other user ID information used to access the Site must be kept confidential. Under no circumstances should you share your password with, or provide access to the Site to, an unauthorized individual, person or entity. If you have reason to believe that your password has become known to or used by another individual, you must immediately contact ncsc@nasco.com to report the issue and obtain a new password.

Termination of Access. NASCO reserves the right in its sole discretion to immediately terminate any users access at any time.

Appropriate Use. You may not use the Site to upload or send: (a) offensive, obscene or disruptive material, including but not limited to material that promotes, fosters, or perpetuates discrimination on the basis of race, creed, color, age, religion, gender, marital status, status with regard to public assistance, national origin, physical or mental disability, or sexual orientation, (b) promotion of an illegal activity, (c) promotion of a political candidate, (d) promotion of commercial services or products other than significant sponsors, affiliations, or business partnerships, (e) viruses, or other material that may disrupt or interfere with hardware or software functionality, or (f) spam. Notwithstanding the foregoing, NASCO is not responsible and shall not be liable for any Content posted to or sent from the Site by users of the Site, whether by e-mail, or by any other means. Opinions or comments contained in such Content reflect the views of the author and not of NASCO, unless NASCO expressly states to the contrary.

Contributions to the Site. All contributions and content on the Site are subject to review and audit by NASCO at any time.

Proprietary Rights. Unless stated otherwise in the Control Plan Agreement, NASCO owns all Content on the Site and Content which is transmitted from the Site.  All Content on the Site is protected by law, including without limitation, United States intellectual property law. NASCO owns a copyright in the Site as a collective work and/or compilation, and in the selection, coordination, arrangement, organization and enhancement of the Content. Any trademarks, service marks or other logos featured on the Site are protected by applicable law. Any use or misuse of these trademarks, service mark or logos is expressly prohibited, and may violate applicable federal and state law

Grant of License.  By transmitting, uploading or developing any Content or other materials, you automatically grant NASCO a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish,   translate, create derivative works from, distribute, redistribute, transmit, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any rights that may exist in such Content. Further, NASCO is free to use any ideas, concepts, know-how, techniques, and suggestions contained in any Content or communications related to your use of the Site for any purpose whatever.

Removal of Content; Corrections and Changes. NASCO may add, modify or remove any Content from the Site at any time without notice, and NASCO makes no commitment to update the Content on the Site. NASCO does not assume responsibility for any errors or omissions in the Content. NASCO does not provide any additional warranty in connection with the Content provided on the Site. 

Use of the NASCO Developer Portal site. Use of the NASCO Developer Portal site is at your own risk and is subject to all applicable laws and regulations. NASCO is not liable for any loss from a matter resulting from, but not limited to, failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorized access, theft, operator errors, severe weather, earthquakes, natural disasters, strikes or other labor problems, wars, or governmental restrictions.

No Legal Advice. Nothing contained, expressed, or implied in the Site is intended as, nor shall be construed or understood as, legal advice, guidance, or interpretation. No attorney-client relationship is established between NASCO and you by reason of your use of the Site or under any circumstances whatever. If you have questions about any law, statute, regulation, or requirement expressly or implicitly referenced in the Site, you should contact your own legal counsel.

Disclaimer of Warranty and Liability. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NASCO EXPRESSLY DISCLAIMS ANY WARRANTIES CONCERNING THE ACCURACY, SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SITE. NASCO DISCLAIMS ANY RESPONSIBILITY FOR THE DELETION, FAILURE TO STORE, MISDELIVERY, OR UNTIMELY DELIVERY OF THE CONTENT, OR FOR ANY HARM RESULTING FROM DOWNLOADING OR ACCESSING ANY CONTENT THROUGH THE SITE, INCLUDING, WITHOUT LIMITATION, HARM CAUSED BY VIRUSES OR SIMILAR CONTAMINATING OR DESTRUCTIVE FEATURES. YOU UNDERSTAND AND AGREE THAT ANY CONTENT DOWNLOADED FROM OR OTHERWISE OBTAINED THROUGH THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWN LOAD OF SUCH CONTENT. NASCO MAKES NO WARRANTY REGARDING THE RELIABILITY OR ACCESSIBILITY OF ANY USER SUPPORTED PAGES OF THE SITE OR ANY STORAGE FACILITIES OFFERED BY NASCO. NASCO DISCLAIMS ANY AND ALL RESPONSIBILITY AND LIABILITY FOR THE ACCURACY, COMPLETENESS, LEGALITY, RELIABILITY, OPERABILITY, OR AVAILABILITY OF THE CONTENT, PRODUCTS AND SERVICES OFFERED AT OR THROUGH THE SITE. WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Notification of Changes.  These Terms of Use are subject to change by NASCO at any time.  Upon revision, NASCO will update the Terms of Use on the NASCO Developer Portal.

Governing Law and Jurisdiction. These Terms of Use will be governed by and construed in accordance with the laws of the State of Georgia, without reference to its choice of law rules. By accessing, viewing, uploading or using the Content, you consent to the jurisdiction of the federal and state courts presiding in Atlanta, Georgia, and agree to accept service of process by mail and hereby waive any and all jurisdictional and venue defenses otherwise available.

Privacy.  In order to use the Content on the Site, Developer must register by providing limited personal information (i.e. name and e-mail address) and creating a username and password to access the Content. Any personal information provided by Developer, as well as any other information collected during the course of Developer’s use of the Content, will be treated in accordance with the NASCO Privacy Policy at https://nasco.com/privacy-policy/ .

Third Party Links.  In order to provide you with greater value, we may provide links to other third party web sites. NASCO EXERCISES NO AUTHORITY OVER LINKED SITES, EACH OF WHICH MAINTAINS INDEPENDENT PRIVACY AND DATA COLLECTION POLICIES AND PROCEDURES. NASCO ASSUMES NO RESPONSIBILITY OR LIABILITY FOR THESE INDEPENDENT METHODS OR ACTIONS AND IS NOT RESPONSIBLE FOR THE INDEPENDENT POLICIES OR PROCEDURES OF THE THIRD PARTY WEB SITES. NASCO ASSUMES NO RESPONSIBILITY FOR THE PRIVACY INITIATIVES OR CONTENT OF SUCH WEB SITES. THESE LINKS TO THIRD PARTY WEB SITES ARE PROVIDED ONLY FOR YOUR CONVENIENCE. ACCESS TO THESE THIRD PARTY WEB SITES IS AT YOUR OWN RISK.

Severability and termination of use.  If any part of these Terms of Use is held to be invalid or unenforceable for any reason, the remaining parts will remain in full force and effect. You acknowledge that, in providing you with access to and use of the Site, NASCO has relied on your agreement to be legally bound by these Terms of Use. NASCO reserves the right to terminate your access to the Site in the event that you violate these Terms of Use, or for any reason whatever.
